Vista Completes Sale of SumTotal Systems

Vista Equity Partners has completed the sale of its portfolio company SumTotal Systems to Skillsoft Corporation, a subsidiary of Skillsoft Limited.  Vista completed a buyout and take-private of SumTotal in July 2009.

SumTotal Systems is a provider of integrated human resource services including talent acquisition, talent management, talent development, workforce management and analytics. The company’s products and services are used to automate processes including aligning individuals’ goals with business objectives, developing the individual’s skills and competencies, assessing the individual’s performance, providing succession planning, and setting compensation based on performance.  SumTotal has more than 3,500 customers and over 43 million users worldwide.  The company is widely recognized by industry analysts as a leading provider in all segments of strategic human capital management.  SumTotal Systems is headquartered in Gainesville, FL, with operations across North America, Europe, the Middle East, Africa, and the Asia Pacific region (www.sumtotalsystems.com).

Vista Equity Partners has more than $13 billion in committed capital and makes equity investments in enterprise software businesses and technology-enabled services companies. The firm was founded in 2000 and has over 50 investment professionals operating out of San Francisco, Chicago and Austin (www.vistaequitypartners.com).

Committed financing for this transaction was provided by Barclays, Morgan Stanley, Deutsche Bank and Credit Suisse.

Evercore acted as exclusive financial advisor to Vista Equity Partners and Deutsche Bank Securities acted as exclusive financial advisor to Skillsoft.
