Align Capital Partners (ACP) has acquired Armko Industries, a provider of building envelope, roofing and waterproofing consulting services.
Armko is an engineering and consulting firm that provides technical services centered on the building envelope, the physical barrier separating a building’s interior from the exterior environment. The company advises building owners, architects and facility management teams on roof and building envelope analysis, exterior wall and veneer waterproofing assessments, and the design and specification of roofing and waterproofing systems.
Armko’s customer base includes K-12 school districts, higher education institutions, municipalities, healthcare systems and commercial property owners across Texas and adjoining states, with work involving tens of millions of square feet of roof and wall systems. Since its founding, the firm has completed more than 7,000 consulting engagements related to roof and building envelope projects. Armko was founded in 1983 by CEO Rodney Ruebsahm and is headquartered near Dallas in Flower Mound, Texas.
Rodney Ruebsahm
“Over the past forty years, Armko has expanded into a highly regarded building envelope consulting partner poised for its next phase of growth,” said Mr. Ruebsahm. “I’m proud of our team and our commitment to clients, and excited to see the team build on the firm’s legacy in its next chapter with ACP. I believe our shared commitment to service, technical expertise and performance results makes this partnership a perfect fit.”
With the close of the transaction, Mr. Ruebsahm has retired from the day-to-day operation of the company, and Josh Brown will now lead the business.
“I am honored to join the talented team at Armko,” said Mr. Brown. “In my previous architecture and engineering roles in the region, I witnessed firsthand how Armko consistently delivers for clients through deep technical knowledge and a results-oriented approach. In partnership with ACP, we are well positioned to continue to enhance Armko’s services for our clients and aim to drive meaningful growth opportunities for our employees.”
Jack Parks
“Armko has built an outstanding reputation as a critical, trusted partner to institutional clients across Texas,” said Jack Parks, a partner at ACP. “This has led to a strong foundation of reoccurring consulting engagements supporting clients’ retrofit and new roofing needs. We believe Armko is well-positioned to enter new markets across the South.”
In addition to Mr. Parks, the ACP transaction team included Rob Langley, co-founder and managing partner; Stuart Schardin, operating partner; Matt Bowen, principal; and Ben Bryles, senior associate.
Armko is ACP’s second platform investment in the architecture, engineering and construction sector. In February of last year, ACP acquired AKS Engineering, an Oregon-headquartered civil engineering and surveying consulting firm.
ACP invests between $20 million and $60 million in North American-based companies with EBITDA ranging from $3 million to $15 million and enterprise values of up to $150 million. Its sectors of focus include software and tech-enabled services, professional business services, industrial services, specialty manufacturing, and specialty distribution.
In November 2022, ACP closed its third fund, Align Capital Partners Fund III LP, above its target with $620 million in capital commitments. The firm has offices in Dallas and Cleveland.
Metronome Partners was the financial advisor to Armko on this transaction.
