Its Prime Time for NewHold’s Engineering and Architecture Platform

PRIME AE Group, a portfolio company of NewHold Enterprises, has acquired Jacobi, Toombs & Lanz, a provider of engineering, survey and construction services.

Jacobi, Toombs & Lanz (JTL) provides engineering, survey and construction services to the municipal, state, and commercial infrastructure market in Indiana and Kentucky. The company, led by President Mike Harris, was founded in 1955 and has just less than 50 employees at its headquarters near Louisville in New Albany, Indiana, and at its 3 additional offices in Kentucky (1) and Indiana (2).

PRIME AE is a provider of engineering and architecture services. The company’s capabilities include architectural, interior and landscape design; construction management and inspection; civil, structural, mechanical, electrical, and plumbing engineering; surveying services; bridge, highway and roadway design and inspection; and water and wastewater collection systems design.

PRIME AE’s markets include commercial and industrial, healthcare, education, hospitality, state and municipal agencies, and civilian and federal defense agencies. Founded in 2007 with just two employees, PRIME AE today operates in 10 states and has more than 485 employees in 22 offices across the Midwest and eastern United States.

NewHold invested in PRIME AE in December 2019 and the buy of JTL is the company’s fourth add-on acquisition following the buys of Florida-based Prosser (January 2022), Maryland-based Penza Bailey Architects (April 2021), and Kentucky-based Integrated Engineering (November 2020).

PRIME AE continues to expand its geographic footprint, service offerings, and capabilities through both organic growth and strategic acquisitions.

NewHold is a holding company focused on long-term ownership and growth of North American, middle-market industrial and services companies. Each of the firm’s platform strategies is led by an experienced industry executive and is targeted to reach a minimum of $30 million to $50 million of EBITDA.

In addition to its Prime AE infrastructure services strategy, NewHold has three other active platform strategies including (1) environmental services through American AllWaste, a Houston, Texas-based provider of handling and treatment services for non-hazardous waste streams (July 2018); (2) precision manufacturing through F&S Tool, an Erie, Pennsylvania-based plastic injection mold maker and producer of complex components used in medical, healthcare and personal care applications (September 2020); and (3) specialty chemicals through Tedia, a Fairfield, Ohio-based manufacturer of high-purity solvents used in laboratory, life science, biotechnology and pharmaceutical applications (March 2022).

New York City-headquartered NewHold was founded in 2017 and its investors consist primarily of family offices.

Shorehill’s Triad Adds On Again

Triad Technologies, a portfolio company of Shorehill Capital, has acquired Tech-Syn Corporation.

Tech-Syn is a distributor of O-rings; industrial and hydraulics hoses and seals; and gaskets, fittings and couplings to an array of industrial customers. The company also provides several value-added services including engineering support, kitting and custom packaging, and inventory management programs.

Tech-Syn was founded in 1959 and, prior to its sale to Triad, was led by Gary Manning, its president and owner. The company is headquartered near Chicago in Bloomingdale, Illinois, with additional locations in Rockford, Illinois, and Milwaukee, Wisconsin.

Triad Technologies is a stocking distributor of industrial fluid power and automation products used in hydraulic, pneumatic, electromechanical, filtration, and automation applications. Triad also provides value-added services including technical support and field services, system design, hose assembly, and repair services. Triad has more than 7,000 customers and 28 locations across Ohio, Indiana, Illinois, Michigan, and Kentucky including the Triad ParkerStores retail outlets (hose repair and fluid connector products) in Ohio and Southern Michigan.

Triad, led by CEO Greg Wissman, was founded in 1981 by Lee and Rita Wissman and is headquartered near Dayton in Vandalia, Ohio.

Shorehill acquired Triad from Svoboda Capital Partners in October 2019. The acquisition of Tech-Syn, which closed in March 2023 but was only announced this week, is Triad’s third add-on acquisition under Shorehill ownership and follows the add-on buy, also in October 2019, of Goshen, Indiana-based Day Fluid Power, and the December 2022 buy of Lyons, Illinois-based Industrial Service Products.

“Triad’s acquisition of Tech-Syn greatly enhances Triad’s ability to provide complex sealing solutions to its customers. It also strengthens Triad’s footprint throughout the Midwestern United States. Looking ahead, Triad continues to seek acquisitions that expand its product breadth and geographic reach to better serve its customers,” said Charlie Denison, a managing director at Shorehill.

Chicago-based Shorehill makes control investments in North American-based middle market companies that have from $3 million to $15 million in EBITDA. Sectors of interest include engineered industrial products, industrial services, and value-added distribution. The firm was founded in 2013 by its managing partners Brian Simmons and Dave Hawkins, both former senior executives of CHS Capital.

According to Shorehill, Triad is actively seeking additional acquisitions of distributors of fluid power, industrial automation, and fluid conveyance products.

Paine Schwartz Beats Target on Newest Food and Agribusiness Fund

Paine Schwartz Partners has held a final close of its sixth fund, Paine Schwartz Food Chain Fund VI LP, with an above target $1.7 billion of capital commitments.

Limited partners in Fund VI, include pension funds, sovereign wealth funds, endowments, foundations, family offices and other institutional investors. Paine Schwartz’s earlier fund, Paine Schwartz Food Chain Fund V LP, closed with $1.4 billion of capital commitments in October 2019.

Fund VI will invest exclusively in sustainable investments in the food and agribusiness sector with a specific interest in productivity and sustainability businesses that enhance agricultural productivity while limiting resource consumption; and health and wellness businesses that provide access to healthier, more nutritious and safer food.

“We are pleased to have successfully completed fundraising for Fund VI, and we appreciate the support we received from both existing and new limited partners,” said Kevin Schwartz, the chief executive officer of Paine Schwartz. “Our ability to exceed our initial fundraising target in a challenging market environment reflects our firm’s track record and the continued resonance of our sustainable investment focus with investors.”

According to Paine Schwartz, its sixth fund is the largest fund ever raised to invest singularly across the food and agribusiness value chain.

Paine Schwartz has already deployed approximately 40% of Fund VI, including investments in Philadelphia-based AgroFresh Solutions (April 2023), Australia-based Costa Group (September 2023), St. Louis-based Elemental Enzymes (June 2023), Jacksonville-based HGS BioScience (September 2022), and Watsonville, California-based Monterey Mushrooms (October 2022).

“With Fund VI, we are continuing to invest to feed a growing population better food with more efficient use of resources,” added Mr. Schwartz. “Food and agribusiness has been the fastest growing sector for more than 15 years and continues to be underserved by the investment community. Guided by our core themes, we are targeting investments in segments associated with long-term growth that have limited commodity exposure and limited private equity competition. Paine Schwartz was founded in 2006 by Dexter Paine and Mr. Schwartz and provides equity to food and agribusiness companies for management buyouts, going-private transactions, expansion and growth programs. Paine Schwartz has offices in New York City and San Mateo, California.

Paine Schwartz engaged Lazard Frères & Co. as its placement agent and Kirkland & Ellis provided legal services.

Shorehill Hires New Associate

Shorehill Capital has expanded its investment team with the hiring Anna Hofmockel as an associate.

Ms. Hofmockel joined Shorehill earlier this month and will be active evaluating investment opportunities, conducting due diligence, and managing portfolio companies.

Ms. Hofmockel joined Shorehill in September 2023, bringing over five years of middle market transactional experience to the firm. Prior to joining Shorehill, she worked as a mergers and acquisitions associate at B2B Industrial Packaging, an Illinois-based industrial packaging distributor and a current portfolio company of New York City-based GenNx360. At B2B, Ms. Hofmockel worked with the senior management team of the company to close 17 add-on acquisitions.

Earlier in her career, from 2018 to 2020, she was an associate at Chicago-based (312) Investments. Ms. Hofmockel has her undergraduate degree from DePaul University.
