Duane Morris Names Co-Chairs of Private Equity Group

Philadelphia-headquartered law firm Duane Morris has named partners Michael Hardy of the firm’s Baltimore office and Nanette Heide of the firm’s New York office as co-chairs of its private equity division which operates under the firm’s corporate practice group.

“Nanette and Mike each have strong experience in private equity transactions and bring to this new assignment a high degree of enthusiasm and commitment to continuing the success and expansion of the private equity division,” said Brian Kerwin, chair of Duane Morris’ corporate practice group. “They will bring some fresh and exciting ideas to the business, and will exert their energies to growing the division both organically and through key lateral hires.”

Mr. Hardy represents clients in connection with mergers and acquisitions, financings and other strategic transactions domestically and internationally. He has extensive experience advising private equity sponsors and their portfolio companies in a range of industries. His private equity clients include growth equity funds, institutional investors, private credit and special situations funds, independent sponsors, family offices, SBIC funds and other nonbank lenders. Mr. Hardy also regularly advises regulated financial institutions and borrowers regarding lending transactions.

Ms. Heide practices corporate law in the area of transactions and general corporate counseling. She represents private equity and venture capital investors, multinational and domestic corporations (both public and private), across a spectrum of corporate finance transactions, including private equity and venture capital investments, institutional private placements, cross-border transactions, debt and equity structuring transactions, mergers and acquisitions, reverse mergers, joint ventures and strategic alliances. Ms. Heide has also formed and structured private equity and hedge funds and she serves as outside counsel for many mid-sized companies.

The Duane Morris private equity division is active in optimizing transactional value for sellers and buyers; advising lenders and borrowers in acquisition financings; counseling limited partners and general partners on formation of funds and other investment structures; advising limited partners on co-investment, direct investment and separate accounts; supporting portfolio company operations; and advising owners on operations, strategy, exit alternatives and tax/wealth planning.
