Encore Consumer Capital Closes Fund 2 Above Target

Encore Consumer Capital, a consumer goods focused private equity firm, has closed its second fund with $211 million of commitments, exceeding its target fund size of $200 million.

Encore Consumer Capital secured commitments from a diversified investor base with the majority of commitments coming from investors in Encore Consumer Capital’s $175 million first fund. Encore II’s investors include endowments and family offices, insurance companies, fund of funds, and pension funds.

MVision Private Equity Advisors serves as the placement agent and Latham & Watkins as fund counsel.

Prospect Capital Backs Recap of Palladium’s Taco Bueno

Prospect Capital Corporation has provided $23.2 million of secured debt financing for the recapitalization of Taco Bueno, a portfolio company of Palladium Equity Partners.  The purpose of the recapitalization was for the repayment of existing debt and to provide a dividend to existing shareholders.

Taco Bueno operates as a quick service restaurant chain offering fast, casual, and quality Mexican cuisine. CIT Backs Latest Webster Acquisitions

CIT Group has arranged and syndicated $90 million in senior secured credit facilities to support Epic Health Services’ acquisitions of Santé Pediatric Services and AmeriCare.  Epic Health Services is a portfolio company of Webster Capital.

CIT Healthcare served as Sole Lead Arranger, Bookrunner and Administrative Agent for the transaction and financing was provided by CIT Bank, a wholly-owned subsidiary of CIT.  “With a substantial balance sheet and a proven ability to deliver promised results with certainty under a tight timeline, CIT Healthcare was the natural partner for us on this transaction,” said David Malm, Senior Partner and head of Webster Capital’s Healthcare practice.

Santé Pediatric Services is a pediatric provider of speech, occupational, medical nutrition and physical therapy. The company is based in Frisco, TX (www.santepediatrics.com).

Ridgemont Acquires J.A.M. Distributing Company

Ridgemont Equity Partners has made a majority equity investment in J.A.M. Distributing Company (JAM), a distributor of lubricants, fuel, base stock and ancillary products.

“Our first introduction to Ridgemont displayed their professionalism and knowledge of investing in diverse industries. They definitely had a very strong interest in JAM and the desire to make a substantial investment in my company. I believe that Ridgemont Equity Partners will be a very good fit for JAM because of their commitment to our employees, customers and the continued growth of our business. J.A.M. Distributing Company is a distributor of lubricants, fuel, base stock, and ancillary products for the industrial, commercial vehicle, passenger vehicle, and marine end markets. Graham Partners Acquires Universal Cold Storage and Universal Pasteurization

Graham Partners has completed its initial investment in the food processing technology space, having formed UCS & UPC Holdings Company to acquire Universal Cold Storage and Universal Pasteurization (Universal), providers of cold storage and high pressure pasteurization services.

Universal is a provider of cold storage, high pressure pasteurization, and other value-added services to domestic food manufacturers.  The company is based in Lincoln, NE (www.universalcoldstorage.com).

High pressure pasteurization (HPP) is a non-thermal, non-chemical based method of pasteurization.  Demand for HPP is driven by its ability to offer enhanced food safety while enabling food manufacturers to offer all-natural products with improved nutritional value and extended product shelf life.  In Universal’s case, a conversion is underway towards HPP from traditional methods of pasteurization, creating the opportunity for growth as penetration continues.  Industry research suggests that adoption of HPP may increase as much as 20-30% annually as consumer awareness increases and the technology continues to gain acceptance.  Graham Partners proactively identified HPP as an attractive investment niche and initiated a direct calling effort targeting businesses in the industry, which yielded the Universal acquisition opportunity.

Pouschine Cook Acquires Griswold Home Care

Pouschine Cook Capital Management has acquired Griswold Home Care, a nationwide non-medical home care franchisor.

American Industrial Partners Acquires Potomac Supply

American Industrial Partners has acquired the operating assets of Potomac Supply Corporation, a softwood mill operator and provider of wood treatment services.

The assets were purchased by Potomac Supply, LLC, a new company formed by American Industrial Partners (AIP) which is capitalized entirely with equity and has no debt.  The transaction marks the AIP’s fifth platform investment in 2012 and the sixth investment in the building products industry over the last 18 months.

Potomac operates a 679,000 square foot yellow pine sawmill with 75 million board feet of capacity on a two shift operating basis and sells dimensional lumber in kiln dried and treated form. The company also sells landscaping timbers and other specialty products such as wood fuel pellets, shavings, fencing components and pallets. Potomac Supply is based in Kinsale, VA which is located 70 miles northeast of Richmond (www.potomacsupply.com).

“Although the company’s operations have been challenged in recent years, its facilities are modern and competitive,” said Rick Hoffman of AIP.  “Potomac is an ideal platform for our thesis in softwoods and wood treating and we look forward to working with management to drive growth and margin improvement.”

Palladium Equity Partners Acquires Zateca Foods

Teasdale Quality Foods, a manufacturer and marketer of Hispanic foods and a portfolio company of Palladium Equity Partners, has acquired Zateca Foods and Greeley Trading Company (together, “Zateca”), a processor and supplier of packaged pre-cooked dehydrated beans.

Zateca is a vertically-integrated producer of pre-cooked dehydrated beans, selling to a variety of institutional foodservice providers, ingredient/spice manufacturers, commissaries and branded food manufacturers.  Its main product offerings include: refried bean mix, pre-cooked dry whole beans, bean flakes, bean powder, bean granules and quick cooking beans.  Zateca is based in Greeley, CO (www.zateca.com).

Teasdale Quality Foods, acquired by Palladium in September 2011, is the largest producer and marketer of canned hominy and beans in the Western United States, primarily serving the Hispanic market under its Teasdale brand and other branded products such as Aunt Penny’s and Emilio’s.  The company was founded in 1930 and is headquartered in Atwater, CA (www.teasdale.net).

PNC Riverarch Acquires Precision Aviation Group

PNC Riverarch Capital has acquired a controlling interest in Precision Aviation Group (PAG), a provider of aviation maintenance, repair and overhaul services, from Florida Capital Partners.

PAG provides comprehensive supply chain and Inventory Supported MRO services for instruments, avionics and accessories for a variety of fixed-wing and rotary-wing aircraft.  The company was founded in 1993 and serves over 3,000 customers in 62 countries.  PAG is headquartered in Atlanta with facilities in Vancouver, BC; Long Beach, CA; Peachtree City, GA; Lafayette, LA; and Brisbane, Australia (www.precisionaviationgroup.com).

The acquisition of PAG by PNC Riverarch Capital was led by Michael Hand, managing director; Michael Rost, managing director; Robert Dolan, senior associate; and David Poss, associate.  Messrs. Hand, Rost and Dolan will serve on the PAG Board of Directors.

Senior debt for the transaction was provided by Fifth Third Bank and subordinated debt was provided by BB&T Capital Partners Mezzanine.

Glencoe Capital Invests In Encore Rehabilitation Services

Glencoe Capital’s Michigan Opportunities Fund has closed on an equity investment in Encore Rehabilitation Services, a provider of rehabilitative therapy services.  “With skilled nursing facilities’ need for therapeutic services for the country’s growing, aging population, we believe Encore is well positioned for expansion,” said David Evans, Glencoe Capital’s Chairman.

Encore is a provider of rehabilitative therapy services to skilled nursing and assisted living facilities. Encore employs more than 1,700 people, with a large portion of them based throughout Michigan. The company is headquartered in Farmington Hills, MI (www.encorerehabilitation.net).

Highstar Capital Exits Utilities

Corix Utilities has completed the acquisition of Hydro Star from Highstar Capital and certain co-investors.   Hydro Star is the sole shareholder of Utilities, Inc., a water and wastewater company.

Utilities, Inc. provides water and wastewater services to approximately 300,000 customers in 15 US states.  Markets served include homes, businesses, new developments and commercial enterprises.  Utilities has five regional offices and employs 435 professionals in its 75 subsidiaries in the states of Arizona, Florida, Georgia, Illinois, Indiana, Kentucky, Louisiana, Maryland, Nevada, New Jersey, North Carolina, Pennsylvania, South Carolina, Tennessee and Virginia. The company is headquartered in Northbrook, IL (www.uiwater.com).

The Corix Group is a wastewater and energy infrastructure services provider for small to mid-sized communities across North America.  The company has over 2,000 employees in 60 locations across North America, with corporate head offices in Vancouver, BC and Wauwatosa, WI.  Corix is a portfolio company of BC Investment Management Corporation and CAI Capital Management.  (www.corix.com).

Citi and RBC Capital Markets served as financial advisors to Highstar along with Morgan, Lewis & Bockius as legal counsel.  Corix was advised by Wells Fargo Securities and Skadden, Arps, Slate, Meagher & Flom, and TD Securities is the arranger on a financing to support the transaction.
